Terms of Service

Effective date: 18 September 2026

These terms govern your use of the websites, applications, products, and professional services provided by Granite Gecko Systems LLC ("GGSystems", "we", "us"). By using our services you agree to them. If you do not agree, please do not use them.

The services

We provide two broadly different things, and some terms below apply to only one.

Products. Software we build and operate ourselves — web applications, and mobile applications distributed through app stores. Individual products may have additional terms, which are presented alongside that product and take precedence where they conflict with these terms.

Professional services. Consulting and engineering work performed for clients, including AI optimization and infrastructure consulting, and agentic systems engineering.

Professional services are governed by a separate written agreement — a statement of work, engagement letter, or master services agreement — which sets out scope, deliverables, fees, and timelines. Where that agreement conflicts with these terms, that agreement takes precedence. These terms apply to the extent the engagement agreement is silent.

Nothing on this website is an offer to perform services, and no engagement begins until a written agreement is signed by both parties.

Acceptable use

You agree not to:

  • use the services to break the law, or to help anyone else do so;
  • attempt to gain unauthorised access to our systems, accounts, or networks;
  • interfere with or disrupt the services, including by overwhelming them with automated requests;
  • resell, sublicense, or redistribute the services without our written permission;
  • reverse engineer the services except where that right cannot lawfully be excluded.

Your content and data

You keep ownership of any content you supply. You grant us only the permissions we need to operate and provide the service to you. How we handle personal data is described in our privacy policy, and for mobile applications in that application's own privacy policy.

Professional services

The following apply to consulting and engineering engagements. They are defaults: a signed statement of work or services agreement overrides anything here.

Scope and changes

Each engagement is defined by its own written scope. Work outside that scope is not included, and either party may propose a change; changes take effect only when agreed in writing, including any effect on fees or timeline.

Your responsibilities

Engagements depend on your cooperation. You agree to provide timely access to the systems, environments, documentation, and people the work requires, and to have the right to grant that access. Delays or inaccuracies in what you provide may affect timelines and cost, and are not our responsibility.

You are responsible for maintaining backups and for your own production environments. Where we recommend a change, the decision to apply it in production is yours.

Intellectual property

What you already own stays yours. Your pre-existing materials, systems, data, and intellectual property remain yours.

What we already own stays ours. We bring pre-existing tools, libraries, methods, know-how, and templates to engagements. These remain our property, and nothing in an engagement transfers them.

Deliverables — work product created specifically for you under an engagement — transfer to you on full payment, unless the engagement agreement says otherwise. Where a deliverable incorporates our pre-existing materials, we grant you a perpetual, non-exclusive, worldwide licence to use those materials as part of that deliverable.

We retain the right to use the general skills, knowledge, and experience gained during an engagement. This does not permit us to use your confidential information.

Confidentiality

Each party may receive confidential information from the other. Each agrees to protect it with at least reasonable care, to use it only for the engagement, and not to disclose it except to people who need it and are bound by similar obligations.

This does not apply to information that is public through no fault of the recipient, was already known without a duty of confidence, is independently developed, or must be disclosed by law — in which case the recipient will give notice where legally able.

Fees and payment

Fees are set out in the engagement agreement. Unless it says otherwise, invoices are payable within 30 days, fees exclude taxes and reasonable pre-approved expenses, and work may be suspended on materially overdue accounts after notice.

No guarantee of specific results

We apply professional skill and judgement, but we do not warrant any particular outcome — including any specific improvement in performance, latency, accuracy, cost, or model behaviour. AI and machine-learning systems are probabilistic, and their behaviour depends on data, infrastructure, and usage we do not control.

Any estimates, benchmarks, or projections we provide are informed opinions, not commitments, unless an engagement agreement expressly states otherwise.

You are responsible for evaluating and testing deliverables before relying on them in production, and for decisions made on the basis of our advice.

Independent contractor

We perform services as an independent contractor. Nothing creates an employment relationship, partnership, joint venture, or agency between the parties, and neither party may bind the other.

Non-exclusivity

We may perform similar services for other clients, including in your industry, subject to our confidentiality obligations.

Product availability

We aim to keep our products running but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of them. Where a paid product is discontinued, we will give reasonable notice.

Product subscription fees

This section covers subscriptions to our own products. Fees for professional services are covered under "Fees and payment" above.

Paid products are billed as described at the point of purchase. Unless stated otherwise, fees are non-refundable once the billing period has begun. We may change pricing with notice, effective at your next billing period.

Disclaimer of warranties

Our products are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that they will be error-free, secure, or uninterrupted, or that any information provided through them is accurate or complete.

For professional services, we warrant only that the work will be performed in a professional and workmanlike manner by people with appropriate skill. That is the only warranty we give on services; all others are disclaimed to the extent permitted by law. See also "No guarantee of specific results" above.

Data surfaced by our services may originate from third-party and public sources. We do not warrant the accuracy, completeness, or timeliness of that data, and it should not be relied upon as the sole basis for a business, legal, or financial decision.

Limitation of liability

To the maximum extent permitted by law, Granite Gecko Systems LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of the services.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the services will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim — for professional services, the fees paid under the engagement the claim relates to — or (b) one hundred US dollars.

Some jurisdictions do not allow certain limitations of liability, in which case the limitations above apply only to the extent permitted.

Termination

You may stop using our products at any time. We may suspend or terminate access if you breach these terms, or where required by law.

For professional services, either party may terminate an engagement as set out in its agreement, or on reasonable written notice if that agreement is silent. On termination you remain liable for fees for work performed and expenses committed up to the termination date, and we will deliver work product completed to that point on payment.

Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, and limitation of liability — survive it.

Changes to these terms

We may update these terms. Where changes are material we will give notice through the service or by email. Continuing to use the services after changes take effect means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Washington, United States, without regard to its conflict of laws rules.
